Acceptance of Terms

The Terms and Conditions (as may be amended from time to time, the "Agreement") is a legal contract between you, an individual customer, member, user, or beneficiary of this service of at least 18 years of age ("You"), and Protinus Infotech Pvt. Ltd. having its registered office and headquarters at D-87, First Floor, South City II, Gurgaon - 122001. India. Trupay is a platform owned by Protinus Infotech Pvt. Ltd. (hereinafter referred to as “Protinus ”). Protinus is the owner of the mobile application “Trupay” and all its web applications (collectively referred to as “Trupay”) hence all the rights, benefits, liabilities & obligations under the following terms & conditions shall accrue to the benefit of Protinus . (together with its subsidiaries and other affiliates, "us", "we" or "Trupay"), regarding your use of our services (known as "Service"). The mobile application “Trupay” and Service is subject to your compliance with the terms and conditions set forth below including all exhibits. Trupay reserves the right, at its sole discretion, to revise, add, or delete portions of these terms and conditions any time without further notice. You shall re-visit the "Terms & Use" link from time to time to stay abreast of any changes that the "Site" may introduce. These terms apply to use of Trupay and any services accessed with Trupay. It is important that You reads and understands these Terms as they govern use of Trupay. By accessing or using Trupay, User accepts and agrees to be bound by these Terms. We request You to terminate the usage of Trupay if you do not agree to follow the Terms and Conditions specified herein.

Trupay Service Provisions

Trupay is a real time payments solution offering the services to users to transfer or receive money in their bank accounts in real time. Trupay uses the UPI platform of National Payment Corporation of India (NPCI) to offer these services.

You acknowledge and agree that the form and nature of the Services which Trupay provides may change from time to time without prior notice to you.

As part of this continuing process, you acknowledge and agree that Trupay may stop (permanently or temporarily) providing the Services (or any features within the Services) to you or to users at Trupay's sole discretion, without prior notice to you.

You agree that if Trupay disables access to your account, you may be prevented from accessing the Services

User Service Conditions

In order to access Trupay services, you will be required to provide information about yourself (such as identification or contact details) as part of the registration process for the Service. You agree that any registration information you give to Trupay will always be accurate, correct and up to date.

You agree to use the Services only for purposes that are permitted by (a) the Terms and (b) any applicable law, regulation or generally accepted practices or guidelines in the relevant jurisdictions.

You agree not to access (or attempt to access) any of the Services by any means other than through the interface that is provided by Trupay, unless you have been specifically allowed to do so in a separate agreement with Trupay.

You agree that you will not engage in any activity that interferes with or disrupts the Services (or the servers and networks which are connected to the Services).

You agree to the use of your data in accordance with Trupay's Privacy Policy.

For use of Trupay services you must be the owner of the Bank Account you will link with Trupay. You will neither use Bank Account not owned by you nor will let others use your Bank Account for Trupay services at any time.

You will be required create username, password, virtual payment address, MPIN to access and use Trupay service. You shall not share, assign or permit the use of Your username and password, MPIN to any other persons. You agree to notify Trupay immediately of any unauthorized use of your username, password, MPIN or any other breach of security. You agree that Trupay shall not be liable for any loss or damage arising from your failure to comply with this section. Your request to transfer funds from your Bank Account linked to Trupay will be forwarded by Trupay to your bank. You are solely responsible for ensure that there are adequate funds in your bank account and that you are complying with any terms set by your bank or with respect to your account, including any fee terms, such as non-sufficient fund or overdraft fee terms.

Some of the Services are supported by advertising revenue and may display advertisements and promotions. These advertisements may be targeted to the content of information stored on the Services, queries made through the Services or other information. In consideration for Trupay granting you access to and use of the Services, you agree that Trupay may place such advertising on the Services. You agree to receive all commercial message including notifications/sms or any other messages from Trupay or it Merchants.

Disputes and Refunds
In case any amount is transferred erroneously by You to any person or merchant, Trupay shall have no responsibility or liability to refund such amount to You in any circumstances. If incase your mobile device is misplaced, lost or stolen you shall inform us at the earliest to prevent any unauthorized use of your account and Trupay services. Any unauthorized use due to the abovementioned circumstances shall be the sole responsibility of the user. In the event of any dispute, Trupay logs and records shall be final and binding as the conclusive evidence of the transactions on Trupay Services.

Exclusion of Warranties

Nothing in these terms shall exclude or limit Trupay's warranty or liability for losses which may not be lawfully excluded or limited by applicable law. Some jurisdictions do not allow the exclusion of certain warranties or conditions or the limitation or exclusion of liability for loss or damage caused by negligence, breach of contract or breach of implied terms, or incidental or consequential damages. Accordingly, only the limitations which are lawful in your jurisdiction will apply to you and our liability will be limited to the maximum extent permitted by law.

You expressly understand and agree that your use of the services is at your sole risk and that the services are provided "as is" and "as available".

In particular, Trupay, its subsidiaries and affiliates, and its licensors do not represent or warrant to you that: • Your use of the services will meet your requirements, • Your use of the services will be uninterrupted, timely, secure or free from error, • Any information obtained by you as a result of your use of the services will be accurate or reliable, and • That defects in the operation or functionality of any software provided to you as part of the services will be corrected.

Any material downloaded or otherwise obtained through the use of the services is done at your own discretion and risk and that you will be solely responsible for any damage to your computer system or other device or loss of data that results from the download of any such material.

No advice or information, whether oral or written, obtained by you from Trupay or through or from the services shall create any warranty not expressly stated in the terms.

Trupay further expressly disclaims all warranties and conditions of any kind, whether express or implied, including, but not limited to the implied warranties and conditions of merchantability, fitness for a particular purpose and non-infringement.

Limitation of Liability

Subject to overall provision paraphrased above, you expressly understand and agree that Trupay, its subsidiaries and affiliates, and its licensors shall not be liable to you for:
Any direct, indirect, incidental, special consequential or exemplary damages which may be incurred by you, however caused and under any theory of liability.. this shall include, but not be limited to, any loss of profit (whether incurred directly or indirectly), any loss of goodwill or business reputation, any loss of data suffered, cost of procurement of substitute goods or services, or other intangible loss.

Any loss or damage which may be incurred by you, including but not limited to loss or damage as a result of Any reliance placed by you on the completeness, accuracy or existence of any advertising, or as a result of any relationship or transaction between you and any advertiser or sponsor whose advertising appears on the services

The deletion of, corruption of, or failure to store, any content and other communications data maintained or transmitted by or through your use of the services
Your failure to provide Trupay with accurate account information
Your failure to keep your password or account details secure and confidential
The limitations on Trupay's liability to you shall apply whether or not Trupay has been advised of or should have been aware of the possibility of any such losses arising.

Using Trupay Services

Trupay is a software platform platform that gives the User the ability to send and receive electronic payments to other users. All funds transfer services are provided using the UPI and IMPS platform provided by Yes Bank, as Trupay does not receive, hold, or transmit funds. Trupay provides the software platform that allows User to send fund transfer instructions to the Bank through UPI.

Registration: The Services shall be availed by downloading and installing the Application from the mobile application store. The registration is a one-time procedure where the User connects his Account with Trupay. The User has to enter his mobile number which the Application will verify and send to the Bank.
User also agrees to share his/her contact list with Trupay for the purpose of filtering out existing Trupay users. Trupay shall be entitled at its sole discretion to accept or reject such registration requests by the Users and its decision in this regard shall be final and binding.
Usage of Trupay services is currently free for users. Merchants using value added services of Trupay platform are required to pay a fee upon registering with Trupay. Such fee schedule shall be informed to the merchant at the time of registration. User’s bank may charge a nominal transaction fee for transactions and user agrees to bear these charges. Trupay reserves the right to change its fee policy from time to time. Trupay may at its sole discretion introduce new services and modify some or all of the existing services. In such an event, We reserve the right to introduce fees for the new services offered or amend/introduce fees for existing services, as the case may be. Changes to the fee policy shall be posted on the website/app and such changes shall automatically become effective immediately after they are posted.

You will be able to use UPI payments services by registering on UPI platform. You will be required to create your virtual payment address on a mobile phone whose number is registered with your bank. You will be required to select your bank from a list of banks which are part of UPI platform. Trupay will transmit your verified mobile number to NPCI to fetch the bank account associated with the registered mobile number. To authenticate and make any transactions using UPI platform you are required to create a 6 or 4 digit MPIN password. Trupay does not read, hold or save your password and safekeeping and custody of the password is the sole responsibility of the user.

For the users whose bank is not a part of UPI platform can link their bank account with Trupay by providing their Bank Account Number and IFSC Code and such users will only be able to receive funds in their bank accounts. To make any payments through Trupay, user is required to link their virtual payment address to Trupay services. User will need to authenticate every UPI payment transaction by providing the MPIN.

User can use Trupay services to make Person to Person money transfers or to purchase goods and services from Merchants in online and physical world. To use Trupay services you agree to adhere to “Know your Customer” (KYC) norms and all other rules, laws and statutes of Reserve Bank of India. User agrees to provide personal identification information to fulfil the KYC norms. Merchants are required to provide KYC information before using Trupay services. In the event user provides fraudulent KYC details Trupay has the right to block the user from accessing or using Trupay services. Trupay retains the right to share the details of the transactions, beneficiary details and KYC details to Yes Bank, RBI or any other statutory and government authorities or by any Court of law in the country.

Governing Law

This Agreement will be governed by and construed in accordance with the laws of India. The Users agree that any legal action or proceedings arising out of this Agreement may be brought exclusively in the competent courts/tribunals having jurisdiction in Gurgaon in India.
